Legal agreement

1. All visitors ("User", "you", "your") to Pixel Pixel cloud storage space who decide to upload their art, artwork, images or text enter into a binding legal agreement on the following terms (the "Agreement") as soon as any content is uploaded. 2. All visitors ("user", "or", "or") to the Pixel Pixel site at www.PixelPixel.xyz ("this site") enter into a legally binding agreement on the following terms (the "agreement") when using the website. Eligibility

Our services are only accessible to persons who can form legally binding contracts under applicable law. Our services are not offered to people under the age of 16.

Members

You must become a member before placing any content on the website. In its sole discretion, Pixel Pixel may decline any username it deems inappropriate and / or deny anyone from becoming a member.

Any information you choose to post in the public section of your profile may be viewed, distributed or linked within the website or as part of the provision of the Pixel Pixel service.

Put content on the Pixel Pixel website, server or player.

You retain the copyright in any content you submit or upload to the website. In order to receive Pixel Pixel Services, you grant Pixel Pixel a non-exclusive royalty-free license to use and archive Content in accordance with this Agreement or as reasonably provided.

When you submit or upload content to the website and, or the server, or the player, you represent and warrant that:

• you own all copyright in the content, or if you are not the owner, you have permission to use the content, and you have all the rights required to display, reproduce and sell the content;

• your use of the website will comply with all applicable laws and regulations;
• the content does not contain material which defames or vilifies any person, person, races, religion or religious group and which is not obscene, pornographic, indecent, harassing, threatening, prejudicial, injurious to privacy or to rights of publicity, abusive, inflammatory or otherwise objectionable;
• the content does not include malicious code including, but not limited to viruses, trojans, worms, time bombs, cancelerbots or any other computer program routine that may damage, interfere with with, surreptitiously intercept or expropriate any system, program, data or personal information; And
• the content is not deceptive or misleading and does not offer or disseminate any fraudulent goods, services, plans or promotions.

Pixel Pixel reserves the right to review and, if in its sole discretion deemed necessary, remove any content from the website and / or cancel your account, because such content violates your agreement with us and / or any other applicable legislation, or otherwise. You agree to indemnify Pixel Pixel for any direct or indirect damage caused by your violation of one or more of these warranties.

Offer your art for sale on a physical product

Any member can offer their art for sale on a physical product on the site. Percentage and payout are expressed and paid in Canadian dollars and are subject to change at any time.

Commissions could change based on current promotions.

As part of our policy and customer service, we may refund or credit a customer for their dissatisfaction with the product for up to 30 days after purchase. Pixel pixel commission payment will be made in the last week of the month following the sale of your artwork. All commissions are paid in Canadian dollars.

Intellectual property rights and licenses

By submitting ads to Pixel Pixel and for the purpose of implementing and fulfilling your campaign and for the purpose of advertising the Pixel Pixel service in any medium pixel pixel you choose, you are granting Pixel Pixel a license non-exclusive, worldwide, royalty-free, able and transferable to use, reproduce, distribute, prepare derivative works and display the content of such ads as part of the Pixel Pixel services and businesses by facilitating sale of your product, including without limitation for the promotion and redistribution of part or all of the Pixel Pixel site (and its derivative works) in all media formats and through all media channels. You also grant each user of the Pixel Site Pixel access to your content through the site, and to share, distribute and display the content permitted by the functionality of the site and under this user agreement. The above licenses end within a commercially reasonable time after your ads are removed or removed from the Pixel Pixel site.

This User Agreement and all disputes relating to this User Agreement or relating to your use of any part of the Pixel Pixel Service will be settled exclusively under confidential binding arbitration held in Montreal, Quebec, Canada. All disputes will be resolved in accordance with applicable Canadian law.

General

We accept no responsibility for any failure to comply with this agreement where such failure is due to circumstances beyond our reasonable control.

If we waive all of the rights we have under this Agreement on one occasion, it does not mean that those rights will automatically be waived on any other occasion.

If any of the terms of this agreement are found to be invalid, unenforceable or illegal for any reason, the remaining terms must nonetheless remain in full force.

You can close your account at any time.

Service Agreement

By uploading your art, images, text to the Pixel Pixel website, servers or player, you agree to and grant the reproduction right to Pixel Pixel to generate products and images linking your art, images and text. to any product available on the website.

You wish to use the Pixel Pixel services to facilitate the marketing and sale of your art on a physical product and to manufacture the physical product once an order has been made through www.pixelpixel.xyz (“this site”). Pixel Pixel will provide these services on the terms set out in this service agreement. In addition, Pixel Pixel will provide for the delivery of these products to the customer.

1. Services

1.1 Pixel Pixel, acting as publisher under your instructions with respect to the performance of Marketplace Services, will market and obtain customer orders for the purchase of your art as a product on the Website. On customer order, Pixel Pixel will print your artwork on products chosen by the customer. Pixel Pixel will then organize the delivery of the product according to the customer's instructions. Pixel Pixel will accept payment from customers and arrange customer service. Pixel Pixel will then pay you effective commissions (the artist).

1.2 Pixel Pixel will provide the Services in accordance with this Agreement until terminated in accordance with its terms.

1.3 You agree that Pixel Pixel is free to act in any capacity for anyone else interested in promoting, marketing and obtaining commissions from members of the public for the purchase of their arts on the Website, including any art which is the same as, or similar to, your products.

2. License and standing instructions

2.1 You grant Pixel Pixel a non-exclusive royalty-free license to use your intellectual property relating to your products for the purpose of enabling us to perform the services.

3. Sale of your products

3.1 You agree that Pixel Pixel makes no representation that it will be able to secure an order for your artwork and products, whether at retail or at all, or that you will obtain any benefit from entering into this service agreement.

4. Payment terms

4.1 We may set payment amount amounts with respect to a month or other period - and where the payment amount does not exceed any applicable threshold for the relevant period, Pixel Pixel may choose to defer your payment until the threshold is exceeded.

4.2 It is your responsibility to ensure that Pixel Pixel has current details of your mailing address and bank details. Pixel Pixel will not be responsible for any loss suffered by you if you provide us with incorrect details regarding the method of payment. If we are unable to pay you because you have given us incorrect details or your contact details are out of date, we will keep your commissions for up to 12 months from the date of payment. If you have not notified Pixel Pixel of a change to the payment method details within this timeframe, your commission proceeds will be forfeited to Pixel Pixel.

5. Indemnity

5.1 Hereby, indemnify you and retain Pixel Pixel indemnity with respect to all claims, debts, accounts, expenses, costs, privileges, actions and proceedings of any kind, whether known or unknown by any person, arising from the appointment or by virtue of any breach or non-performance of your obligations arising or your willful act, negligence or default in the performance of those obligations.

5.2 This clause will survive termination of this Services Agreement.

6. Limitation of Liability

6.1 In no event will Pixel Pixel be responsible for any consequential loss or damage that you have suffered as a result of this service agreement. To the extent permitted by law, all warranties and conditions implied by law are expressly excluded.

7. End this agreement

7.1 You may give notice of termination of this service agreement by closing your account in the method described in the user agreement.

7.2 Pixel Pixel may give you written notice of termination of this Services Agreement at any time.

7.3 After notice of termination as described in section 8.1 or 8.2, you authorize us to complete all outstanding transactions relating to your art, which we will do under this service agreement. Termination of this service agreement will be effective upon completion of these transactions.

8.4 Upon termination of this Service Agreement by either party, Pixel Pixel will pay you the accrued Member Margin proceeds from your Account, less the administration fee of 5 $CAN.
